Corporate governance and compliance courses tend to cover structure, committees and reporting lines. The point that matters most is narrower than any of those.
You can delegate the work. You cannot delegate the duty.
A board can appoint a chief risk officer, engage advisers, and rely on management reporting. None of that discharges an officer’s personal obligation to exercise due diligence. Relying on a report you had no reason to question is different from relying on a report you never tested.
What that means in practice is asking how a number was produced, not only what it is. Asking what is not in the paper. Recording the question and the answer. And noticing when reporting has been the same colour for four quarters, which is usually a reporting problem rather than good news.
